Technical Due Diligence Request List (excerpt)

1. Provide access to the source code repository, including full commit history, for review by our technical advisor.
2. Disclose any material dependence on open-source libraries with copyleft licenses (e.g., GPL) and confirm no proprietary code is derived from them in a way that would trigger disclosure obligations.
3. Provide a summary of any known security incidents or data breaches in the past 36 months, including remediation steps taken.
4. Confirm whether any key engineering personnel are subject to non-compete agreements with prior employers that could create IP ownership disputes.
5. Provide documentation of infrastructure architecture, including a description of single points of failure and current uptime SLAs with customers.
6. Disclose any pending or threatened litigation related to intellectual property, including patent claims.
